The Board of Trustees is the Governing and Representing Body of the Foundation; it has the power to take all necessary decisions regarding the governance, rules of order, top management, asset management and legal representation of the Foundation, with no restrictions other than those stated in the Law.
It is composed of a minimum of five and a maximum of sixteen members; its ex officio members are the Governor and the Deputy Governor of the Bank of Spain. Other members of the Board have a four-year term of office, and can be re-elected for successive terms. Its President is the Governor of the Bank of Spain and its Secretary is the General Secretary of the Bank of Spain.
The Board of Trustees meets at least twice a year to approve the action plan for the next financial year and to approve the annual accounts of the last fiscal year.
The Executive Commission is composed of a minimum of three and a maximum of five members. Its members and Chairman are appointed by the Board of Trustees. The Secretary of the Board of Trustees acts as Secretary of the Executive Commission.
The Executive Commission exerts all the functions explicitly delegated to it by the Board of Trustees, except those regarding the yearly approval of the Foundation’s accounts and action plans, the reform of its Charter, the merger and extinction of the Foundation, and any other decisions that require authoritation from the Spanish Foundations’ Protectorate (“Protectorado de Fundaciones”).
The Director is appointed by the Board of Trustees and is responsible for organizing the activities of the Foundation and exerting the specific tasks entrusted by the Board of Trustees and the Executive Commission. He is also responsible for preparing the annual accounts of the Foundation.
The current Director is Rafael Repullo
